These Terms of Service (“Terms”) govern your access to and use of KrownAgency.com (the “Website”) and the services provided by Krown Agency (“Krown Agency,” “Agency,” “we,” “us,” or “our”).

Krown Agency provides creative, marketing, technology, and related professional services, which may include:

  • Website design and development
  • Website maintenance
  • Graphic design
  • Branding and brand strategy
  • Logo and visual identity design
  • Digital marketing
  • Search engine optimization (“SEO”)
  • Social media management
  • Social media content creation
  • Paid advertising management
  • Content marketing
  • Marketing strategy and consulting
  • Email marketing
  • Website optimization
  • Creative consulting
  • Related digital and professional services

By accessing our Website, requesting or purchasing services, accepting a proposal, signing a statement of work, paying an invoice, or otherwise entering into a service relationship with Krown Agency, you agree to these Terms to the extent applicable to your relationship with us.

Please read these Terms carefully. If you do not agree with these Terms, do not use our Website or purchase our services.

1. Relationship Between These Terms and Individual Agreements

These Terms provide the general conditions that apply to our Website and services.

Specific projects may also be governed by additional documents, including:

  • Proposals
  • Quotes
  • Statements of Work (“SOW”)
  • Service agreements
  • Retainer agreements
  • Project briefs
  • Invoices
  • Order forms
  • Written amendments

Collectively, those documents may be referred to as a “Service Agreement.”

If a signed or otherwise accepted Service Agreement contains a provision that conflicts with these Terms, the more specific provision in the Service Agreement will control with respect to that project.

2. Eligibility and Authority

You must be legally capable of entering into a binding agreement to purchase our services.

If you use our Website or engage Krown Agency on behalf of a business, company, nonprofit organization, partnership, or other entity, you represent that you have authority to bind that organization to the applicable agreement.

In these Terms, “Client,” “you,” and “your” may refer to either an individual client or the organization on whose behalf that individual is acting.

3. Our Services

Krown Agency provides professional creative, digital, technology, and marketing services.

The exact scope of services for a particular Client will be described in the applicable proposal, SOW, invoice, agreement, or other written project documentation.

Services outside the agreed scope may require:

  • A revised quote
  • An additional fee
  • A change order
  • A new SOW
  • A separate agreement

Krown Agency is not required to provide services that are not reasonably included in the agreed project scope.

4. Quotes and Proposals

Unless otherwise stated, quotes, estimates, and proposals are based upon the information available at the time they are prepared.

If project requirements materially change after a quote is issued or a project begins, pricing and timelines may be adjusted.

A proposal may have an expiration date.

Krown Agency is not obligated to honor an expired proposal or quote and may revise pricing before accepting a project.

5. Project Deposits and Initial Payments

Certain projects may require a deposit, retainer, or initial payment before work begins.

Unless otherwise stated in writing:

  • Work will not begin until the required initial payment is received.
  • Project scheduling is not guaranteed until payment and required onboarding materials are received.
  • Deposits may become non-refundable once Krown Agency has reserved project capacity or begun performing work.

Any specific refund terms stated in a proposal, invoice, or Service Agreement will control.

6. Payment Terms

Clients agree to pay all fees described in the applicable proposal, invoice, subscription, retainer agreement, or Service Agreement.

Payment terms may vary depending on the service.

Payment structures may include:

  • Upfront payment
  • Deposits plus milestone payments
  • Monthly retainers
  • Recurring subscriptions
  • Hourly billing
  • Fixed project fees
  • Performance or campaign-related fees where separately agreed

Invoices are due according to the due date stated on the invoice or applicable agreement.

Clients are responsible for reviewing invoices promptly and notifying us of any reasonable billing concerns.

7. Late or Outstanding Payments

If an invoice becomes overdue, Krown Agency may, to the extent permitted by law and the applicable agreement:

  • Pause work
  • Delay delivery
  • Suspend Website maintenance
  • Suspend marketing services
  • Suspend access to deliverables
  • Decline to begin additional work
  • Withhold transfer of final files or intellectual property
  • Terminate ongoing services
  • Pursue collection of amounts properly owed

Pausing services due to nonpayment may affect project deadlines, campaign performance, website operations, advertising, or other services.

Krown Agency will not be responsible for delays or losses resulting from a Client’s failure to make required payments.

Where permitted and disclosed in the applicable agreement or invoice, overdue balances may also be subject to reasonable late fees or collection costs.

8. Recurring Services and Retainers

Some Krown Agency services may be provided on a recurring monthly basis.

These may include:

  • Social media management
  • Digital marketing
  • SEO
  • Advertising management
  • Website maintenance
  • Content creation
  • Consulting
  • Marketing support

Recurring services may be billed in advance.

Unless a separate agreement states otherwise, recurring services continue until properly canceled.

If the applicable Service Agreement requires a minimum commitment period, cancellation does not eliminate payment obligations associated with that committed period unless otherwise agreed in writing.

9. Cancellation of Ongoing Services

Unless a different cancellation period appears in your Service Agreement, Clients should provide at least 30 days’ written notice to cancel ongoing monthly services.

Services already provided and fees already earned are generally non-refundable.

Amounts paid toward upcoming services will be handled according to the applicable Service Agreement and the circumstances of the cancellation.

Krown Agency may also terminate ongoing services as described in these Terms.

10. Project Cancellations

If a Client cancels a project after work has begun, the Client remains responsible for:

  • Work completed through the cancellation date
  • Approved third-party expenses
  • Non-refundable expenses incurred on the Client’s behalf
  • Any cancellation obligations contained in the applicable Service Agreement

If amounts already paid exceed fees earned and non-refundable expenses, any refund will be determined according to the applicable agreement and work performed.

Unless otherwise agreed, unfinished concepts, drafts, source files, and unused creative materials remain the property of Krown Agency.

11. Client Responsibilities

Successful projects require reasonable cooperation between Krown Agency and the Client.

Clients agree to provide information, materials, approvals, access, and feedback reasonably necessary for Krown Agency to perform the agreed services.

This may include:

  • Logos
  • Brand guidelines
  • Photographs
  • Videos
  • Product information
  • Service descriptions
  • Website content
  • Contact information
  • Account access
  • Social media access
  • Hosting credentials
  • Domain access
  • Analytics access
  • Advertising access
  • Feedback
  • Legal disclosures
  • Required approvals

Clients are responsible for ensuring information supplied to Krown Agency is accurate and current.

12. Client Delays

Project timelines depend upon timely Client cooperation.

If a Client delays providing content, access, responses, feedback, approvals, or payments, Krown Agency may adjust the project schedule accordingly.

Substantial Client delays may require the project to be rescheduled based on Krown Agency’s then-current availability.

If a project remains inactive for an extended period because of the Client, Krown Agency may close or archive the project and require a reactivation fee or revised project agreement before work resumes.

13. Project Timelines

Any delivery dates or schedules we provide are reasonable estimates unless expressly identified as guaranteed deadlines in writing.

Project timelines may depend upon factors outside Krown Agency’s direct control, including:

  • Client response times
  • Third-party software
  • Hosting providers
  • Domain registrars
  • Advertising platforms
  • Social media platforms
  • Search engines
  • Payment processors
  • Technical issues
  • Platform reviews
  • Client-requested changes
  • Third-party contractors
  • Force majeure events

Krown Agency will make commercially reasonable efforts to meet agreed timelines but cannot guarantee timelines affected by circumstances reasonably outside our control.

14. Revisions

The number and type of revisions included in a project will be determined by the applicable proposal or Service Agreement.

A “revision” generally means a reasonable modification to an existing concept based on the original project scope.

A revision does not necessarily include:

  • A complete redesign
  • A new creative direction
  • A new website structure
  • New pages not included in the scope
  • A new branding concept
  • Replacing previously approved work
  • Significant new functionality
  • Major changes to project requirements

Changes that materially alter the original scope may be considered additional work and billed separately.

15. Client Approvals

Clients are responsible for carefully reviewing materials before approval.

Approval may include approval communicated through:

  • Email
  • Project-management software
  • Messaging platforms
  • Electronic signatures
  • Written confirmation
  • Publishing instructions

Once a Client approves a design, website, advertisement, copy, campaign, post, or other deliverable, changes requested afterward may constitute additional work.

The Client is responsible for reviewing final deliverables for names, prices, addresses, phone numbers, links, spelling, product information, legal statements, disclaimers, dates, offers, promotions, contact information, and other factual information.

Krown Agency will make reasonable efforts to correct errors that are our responsibility, but Clients should not rely upon Krown Agency as their sole proofreading, legal compliance, or factual verification process.

16. Website Design and Development Services

For website projects, the scope may include specific pages, functionality, integrations, plugins, themes, or other features described in the project agreement.

Features not specifically included may be billed separately.

Unless otherwise agreed, Clients are responsible for ongoing expenses such as:

  • Domain registration
  • Website hosting
  • Premium themes
  • Premium plugins
  • Software subscriptions
  • Email services
  • E-commerce services
  • Third-party integrations
  • Stock assets
  • Fonts requiring separate licenses
  • Payment processing
  • Maintenance services

17. Website Testing and Acceptance

Before launch, Krown Agency may provide the Client with an opportunity to review the website.

Clients should reasonably test and review:

  • Pages
  • Forms
  • Buttons
  • Links
  • Contact information
  • Images
  • Checkout processes
  • Mobile display
  • User-facing functionality

Once the Client approves launch or begins using the website commercially, the website will generally be considered accepted, subject to any warranty or correction period stated in the applicable Service Agreement.

Requests for new functionality or changes after acceptance may be billed separately.

18. Website Maintenance

Website design does not automatically include indefinite maintenance or technical support.

Unless ongoing maintenance has been purchased, the Client is responsible after project completion for matters such as:

  • Software updates
  • Plugin updates
  • Theme updates
  • Website backups
  • Security monitoring
  • Content updates
  • Hosting
  • Domain renewals
  • Compatibility issues
  • Technical maintenance

Krown Agency may offer these services separately.

19. Domains, Hosting, and Third-Party Accounts

Where possible, Clients should own important business accounts in their own name, including:

  • Domains
  • Website hosting
  • Advertising accounts
  • Analytics accounts
  • Social media profiles
  • Email marketing accounts
  • Payment-processing accounts

If Krown Agency creates or manages an account on the Client’s behalf, ownership and transfer will be handled according to the relevant platform’s rules and the applicable Service Agreement.

Clients are responsible for paying renewal fees for services they own.

Krown Agency is not responsible for domain expiration, hosting suspension, account termination, data loss, or similar events caused by a Client’s failure to maintain a third-party account or payment obligation.

20. Third-Party Software and Services

Our services may rely upon third-party products or platforms.

Examples include:

  • WordPress
  • Hosting companies
  • Domain registrars
  • Plugins
  • Themes
  • Google services
  • Meta platforms
  • Social media networks
  • Analytics software
  • Email marketing platforms
  • CRM platforms
  • Payment processors
  • Scheduling software
  • Advertising platforms
  • Design tools
  • Cloud services

These third parties operate independently and may change features, pricing, policies, APIs, technical requirements, algorithms, eligibility requirements, terms of service, or availability.

Krown Agency does not control these third parties and cannot guarantee that any particular third-party service will remain available or function indefinitely.

Additional work caused by significant third-party changes may be billed separately.

21. Graphic Design and Branding

Graphic design and branding services are limited to the deliverables identified in the project scope.

Concepts, drafts, alternate versions, rejected ideas, working files, preliminary materials, and unused creative directions do not automatically become Client property.

Unless otherwise agreed, Clients receive rights only to the final approved deliverables transferred under the intellectual-property provisions below.

22. Logo and Trademark Matters

Krown Agency may create logos, names, slogans, design elements, and other branding materials.

However, creative development does not constitute trademark clearance or legal advice.

Unless trademark research or legal services are expressly included, Krown Agency does not guarantee that:

  • A proposed business name is legally available
  • A logo is eligible for trademark registration
  • A slogan can be registered
  • A proposed mark does not conflict with another party’s rights
  • A trademark application will be approved

Clients should obtain appropriate legal advice regarding trademark availability, registration, and protection when needed.

23. Digital Marketing Services

Digital marketing outcomes depend upon many variables that are outside Krown Agency’s control.

Accordingly, unless expressly guaranteed in a written Service Agreement, Krown Agency does not guarantee:

  • A specific number of leads
  • A specific number of sales
  • A specific conversion rate
  • Specific revenue
  • Specific return on investment
  • Viral content
  • A particular level of traffic
  • A specific customer acquisition cost
  • Any particular business result

Historical results, estimates, forecasts, case studies, or examples are not guarantees of future performance.

24. Search Engine Optimization

Search engines independently determine search rankings and may modify their algorithms at any time.

Krown Agency does not control search engines.

SEO services therefore do not guarantee:

  • First-page rankings
  • A number-one ranking
  • Rankings for a particular keyword
  • A specific amount of organic traffic
  • Permanent rankings
  • Search-engine indexing
  • Particular revenue results

SEO generally involves ongoing optimization, and results may fluctuate.

25. Social Media Management

Where Krown Agency manages social media accounts, the Client remains the owner or authorized controller of its business accounts unless otherwise specified by the applicable platform.

The Client is responsible for ensuring that its business activities, offers, promotions, claims, products, and services comply with applicable laws and platform policies.

Krown Agency cannot guarantee:

  • Follower growth
  • Engagement levels
  • Viral reach
  • Lead volume
  • Sales
  • Account verification
  • Platform visibility
  • Continued platform access

Social platforms may change their algorithms, policies, features, and account restrictions without Krown Agency’s control.

26. Paid Advertising

Where Krown Agency manages advertising campaigns, Agency management fees are separate from advertising spend unless expressly stated otherwise.

The Client is generally responsible for funding advertising spend directly through the advertising platform.

Krown Agency cannot guarantee:

  • Approval of advertisements
  • Approval of advertising accounts
  • Specific advertising costs
  • Specific cost-per-click
  • Specific cost-per-lead
  • Specific conversion rates
  • Sales volume
  • Advertising profitability
  • Continued account access

Advertising platforms independently determine whether campaigns or accounts comply with their policies.

27. Advertising Budgets

Clients authorize Krown Agency to manage advertising within the approved budget or spending parameters.

The Client is responsible for monitoring payment methods connected to its advertising accounts.

Advertising spend paid to third-party platforms is generally separate from Krown Agency’s service fees and is governed by the applicable platform’s terms.

Krown Agency does not control refunds or billing decisions made by third-party advertising platforms.

28. Client-Supplied Content

Clients may provide Krown Agency with:

  • Text
  • Images
  • Videos
  • Logos
  • Music
  • Fonts
  • Graphics
  • Testimonials
  • Product information
  • Customer information
  • Other materials

By providing these materials, the Client represents that it has sufficient rights and authority to permit Krown Agency to use them for the project.

The Client is responsible for securing necessary copyright permissions, trademark permissions, model releases, music licenses, image licenses, font licenses, content permissions, and other applicable rights.

Krown Agency may decline to use materials that we reasonably believe could infringe another person’s rights or violate applicable law or platform policies.

29. Intellectual Property – Krown Agency Materials

Krown Agency retains ownership of its pre-existing intellectual property and materials that are not specifically transferred to the Client.

This may include:

  • Processes
  • Systems
  • Templates
  • Frameworks
  • Methods
  • Know-how
  • Code libraries
  • Reusable components
  • Internal documents
  • Design systems
  • Tools
  • Techniques
  • Preliminary concepts
  • Unselected concepts
  • Working files
  • Agency resources

If these materials are incorporated into a final deliverable, the Client may receive a license sufficient to use the final deliverable for its intended business purpose, while Krown Agency retains ownership of the underlying reusable materials.

30. Ownership of Final Client Deliverables

Unless otherwise stated in the applicable Service Agreement, and subject to applicable third-party rights, upon Krown Agency’s receipt of full payment of all amounts owed for the project, Krown Agency assigns to the Client the copyright rights Krown Agency owns in the specifically identified final, approved custom deliverables created exclusively for the Client.

Ownership does not automatically include:

  • Third-party materials
  • Licensed stock assets
  • Fonts
  • Software
  • Plugins
  • Themes
  • Platform technology
  • Pre-existing Agency materials
  • Reusable templates
  • Agency tools
  • Unused concepts
  • Rejected concepts
  • Preliminary drafts
  • Materials specifically excluded in the Service Agreement

Those items remain subject to their respective ownership and licensing arrangements.

No intellectual-property transfer is effective until all applicable project fees have been paid in full unless otherwise agreed in writing.

31. Source and Working Files

Unless specifically included in the project agreement, the delivery of a final creative product does not automatically include every editable source or working file.

Examples include:

  • Adobe Photoshop files
  • Adobe Illustrator files
  • Adobe InDesign files
  • Canva working files
  • Figma files
  • Raw photography
  • Raw video
  • Unused code
  • Development environments
  • Preliminary files
  • Internal design documents

Where source files are requested, additional licensing or fees may apply depending upon the project.

32. Third-Party Intellectual Property

Certain deliverables may include third-party materials licensed from outside providers.

Examples include:

  • Stock photography
  • Stock video
  • Fonts
  • Icons
  • Templates
  • Plugins
  • Themes
  • Music
  • Software
  • Code libraries

These materials remain subject to the applicable third-party licenses.

Krown Agency cannot transfer ownership rights that it does not own.

Clients agree to comply with applicable third-party license terms.

33. Portfolio and Promotional Rights

Unless otherwise agreed in writing or restricted by a confidentiality obligation, Krown Agency may display completed public-facing work in:

  • Our website portfolio
  • Social media
  • Agency presentations
  • Proposals
  • Case studies
  • Award submissions
  • Marketing materials

We may identify the Client as a customer and display publicly available aspects of completed work.

We will not intentionally disclose confidential Client information merely for portfolio purposes.

Clients with special confidentiality requirements should inform Krown Agency before project commencement and ensure those requirements are reflected in the applicable Service Agreement.

34. Confidentiality

During a project, each party may receive non-public information belonging to the other.

Krown Agency will use reasonable care to protect confidential Client information and will use such information primarily as necessary to provide services, operate our business, or comply with legal obligations.

Confidential information does not generally include information that:

  • Is publicly available through no breach of confidentiality
  • Was already lawfully known to the receiving party
  • Is independently developed
  • Is lawfully received from another source
  • Must be disclosed by law

More detailed confidentiality obligations may be established through a separate nondisclosure agreement.

35. Passwords and Account Credentials

Clients should use secure methods whenever possible when providing access to accounts.

We encourage Clients to use:

  • Delegated access
  • Agency access
  • Individual user accounts
  • Password-management tools
  • Multi-factor authentication

rather than sharing primary passwords.

The Client is responsible for revoking Krown Agency’s access when services end if access cannot otherwise be removed by Krown Agency.

36. Privacy and Data Protection

Our collection and use of personal information for Krown Agency’s own business purposes is governed by our Privacy Policy.

When Krown Agency processes personal information on behalf of a Client while providing agency services, additional data-processing obligations may apply.

Clients remain responsible for identifying the privacy laws and industry-specific obligations applicable to their own business and customers.

37. Client Website Privacy Compliance

Clients are responsible for determining what legal policies and notices their websites require.

Depending on the business, these may include:

  • Privacy policies
  • Terms and conditions
  • Cookie notices
  • Consent mechanisms
  • Accessibility notices
  • Refund policies
  • Shipping policies
  • Disclosures
  • Industry-specific notices

Unless expressly retained to provide a particular compliance-related service, Krown Agency’s design or installation of a website or compliance tool does not constitute legal advice or guarantee that the Client’s business is legally compliant.

Clients should seek qualified legal counsel regarding legal requirements that apply to their business.

38. Accessibility

Krown Agency may incorporate accessibility-conscious design and development practices where included in the project.

However, unless a specific accessibility standard and compliance scope are expressly included in the Service Agreement, Krown Agency does not warrant or guarantee that a website will satisfy every accessibility law, regulation, standard, or guideline that may apply to a Client.

Clients with specific accessibility compliance obligations should communicate those requirements before the project begins and obtain appropriate professional advice where necessary.

39. Artificial Intelligence and Technology-Assisted Tools

Krown Agency may use professional software, automation technologies, and artificial-intelligence-assisted tools as part of internal creative, administrative, research, editing, ideation, coding, or marketing workflows where reasonably appropriate.

Human review may be incorporated as appropriate to the nature of the work.

Clients should inform Krown Agency in writing before a project begins if they have contractual, regulatory, security, or confidentiality requirements that prohibit the use of particular categories of technology.

Krown Agency will not knowingly submit highly sensitive Client information to a third-party AI system when doing so would violate an applicable confidentiality obligation.

40. Contractors and Service Providers

Krown Agency may use qualified employees, contractors, freelancers, consultants, vendors, or specialists to assist in providing services.

Krown Agency remains responsible for managing the work we contractually agree to provide, subject to the terms of the applicable agreement.

Where appropriate, team members may receive access to project information reasonably necessary to perform their work.

41. Compliance With Laws

Clients are responsible for ensuring that their business, products, services, advertising claims, promotions, offers, marketing materials, customer communications, and data practices comply with laws and regulations applicable to them.

Krown Agency may refuse to produce or distribute materials we reasonably believe involve unlawful, fraudulent, deceptive, infringing, discriminatory, or otherwise improper activity.

42. Professional Advice Disclaimer

Krown Agency provides creative, marketing, technology, and business-related services.

Unless expressly stated in a separate professional engagement, Krown Agency does not provide:

  • Legal advice
  • Tax advice
  • Accounting advice
  • Investment advice
  • Regulatory compliance advice

Information provided through our Website or marketing services should not be interpreted as professional advice in those fields.

43. Marketing Results Disclaimer

Marketing involves uncertainty.

Even when Krown Agency applies reasonable professional skill and industry practices, business outcomes depend upon factors beyond our control, including:

  • Market conditions
  • Competition
  • Product quality
  • Pricing
  • Client sales processes
  • Customer demand
  • Search algorithms
  • Advertising platforms
  • Website performance
  • Economic conditions
  • Client responsiveness
  • Advertising budgets

No statement regarding potential performance should be interpreted as a guarantee unless expressly identified as such in a signed written agreement.

44. Testimonials and Case Studies

Testimonials and case studies may describe the experiences or results of particular clients.

Those experiences are not guarantees that every Client will obtain the same result.

Results vary according to circumstances, business models, markets, budgets, strategies, execution, and other factors.

Nothing in these Terms is intended to prevent a Client from providing an honest review or expressing a lawful opinion regarding our services.

45. Website Use

You may use KrownAgency.com for lawful purposes.

  • Attempt unauthorized access to the Website
  • Introduce malware or harmful code
  • Interfere with Website security
  • Scrape or harvest data through unauthorized methods
  • Impersonate another person
  • Use the Website for fraud
  • Attempt to damage our systems
  • Infringe our intellectual property
  • Use the Website in violation of applicable law

We may restrict or block access where reasonably necessary to protect our Website, business, users, or systems.

46. Krown Agency Website Intellectual Property

Unless otherwise stated, the content of KrownAgency.com, including its:

  • Text
  • Branding
  • Graphics
  • Logos
  • Layout
  • Designs
  • Original images
  • Written materials
  • Website elements

You may view the Website for personal or legitimate business purposes but may not reproduce, republish, sell, distribute, or commercially exploit our proprietary Website content without permission.

47. Links to Third-Party Websites

Our Website may link to third-party websites or services.

We provide such links for convenience or informational purposes.

Krown Agency does not control third-party websites and is not responsible for their content, security, availability, privacy practices, products, services, or terms.

Your use of third-party websites is governed by their respective terms.

48. Suspension or Termination of Services

Krown Agency may suspend or terminate services for legitimate reasons, including:

  • Material nonpayment
  • Material breach of an agreement
  • Fraudulent activity
  • Abusive or threatening conduct
  • Repeated failure to cooperate
  • Requests for unlawful activity
  • Intellectual-property infringement
  • Security concerns
  • Circumstances making continued performance unreasonable or unlawful

Where appropriate, we will attempt to provide reasonable notice before termination.

The Client remains responsible for properly earned fees and approved expenses incurred before termination.

49. No Employment or Partnership Relationship

Unless expressly agreed otherwise, nothing in these Terms creates:

  • An employment relationship
  • A partnership
  • A joint venture
  • A franchise relationship
  • A fiduciary relationship

between Krown Agency and a Client.

Krown Agency performs its services as an independent service provider.

50. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED IN A WRITTEN SERVICE AGREEMENT.

KROWN AGENCY DISCLAIMS WARRANTIES THAT ARE NOT EXPRESSLY PROVIDED, INCLUDING IMPLIED WARRANTIES TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

These limitations apply only to the extent permitted by applicable law.

52. Third-Party Failures

Krown Agency will not be responsible for failures caused primarily by independent third-party services outside our reasonable control, including:

  • Hosting outages

  • Payment processor failures
  • Email provider failures
  • Software vulnerabilities
  • Plugin failures

  • Materials supplied by the Client that infringe third-party rights
  • False or unlawful claims supplied or approved by the Client
  • The Client’s products or services
  • The Client’s violation of applicable law
  • The Client’s misuse of deliverables
  • The Client’s material breach of these Terms or an applicable Service Agreement

This provision does not require the Client to indemnify Krown Agency for claims arising solely from Krown Agency’s own unlawful conduct where such indemnification is prohibited by law.

54. Force Majeure

Neither party will be responsible for a failure or delay caused by events reasonably outside that party’s control.

Such events may include:

  • Natural disasters
  • Severe weather
  • Fire
  • War
  • Civil unrest
  • Government action
  • Labor disruptions
  • Widespread internet outages
  • Utility failures

  • The nature of the dispute
  • The relevant project or service
  • The resolution requested

The parties may attempt informal resolution before initiating formal proceedings where reasonable.

Nothing in this section prevents either party from seeking urgent injunctive or other relief where legally appropriate.

56. Governing Law

Krown Agency may provide general Website-related notices by email or by posting an updated notice on KrownAgency.com where appropriate.

59. Changes to Services

We may modify, discontinue, add, or remove Agency service offerings at our discretion.

Changes to generally available services do not retroactively alter a Client’s existing contractual rights under an active Service Agreement unless agreed upon or otherwise permitted by that agreement.

60. Changes to These Terms

Krown Agency may revise these Terms periodically to reflect changes in:

  • Our services
  • Business practices
  • Technology
  • Applicable law
  • Website functionality
  • Third-party platforms

The revised Terms will include an updated “Last Updated” date.

Changes apply prospectively to Website use and service relationships as permitted by applicable law and agreements already in effect.

We will not rely on these Terms to retroactively impose material obligations where doing so would be prohibited by applicable law.

61. Assignment

Clients may not transfer a Service Agreement to another person or entity without Krown Agency’s prior written consent where the identity of the Client is material to our services.

Krown Agency may assign its rights and obligations in connection with a merger, acquisition, restructuring, business sale, or similar transaction, subject to applicable law.

62. Severability

If a court determines that any provision of these Terms is invalid or unenforceable, the remaining provisions will remain in effect to the maximum extent legally permitted.

The invalid provision will be interpreted or limited as necessary to most closely reflect its intended lawful purpose where permitted.

63. No Waiver

A party’s failure to enforce a provision of these Terms on one occasion does not necessarily waive the right to enforce that provision later.

Any waiver must be made in accordance with applicable law and the relevant Service Agreement.

64. Entire Agreement

These Terms, together with the applicable proposal, Statement of Work, Service Agreement, invoice, Privacy Policy, and any written amendments constitute the agreement between Krown Agency and the Client regarding the applicable services.

They supersede prior discussions or representations relating to the same services to the extent stated in the applicable agreement.

65. Survival

Provisions that by their nature should continue after termination will survive termination, including provisions regarding:

  • Payment obligations
  • Intellectual property
  • Confidentiality
  • Disclaimers
  • Limitations of liability
  • Indemnification
  • Dispute resolution

where applicable.
